These Terms and Conditions govern your use of the Aethernet website at https://aethernetxs and the services offered by Aethernet, a company registered in Malaysia. By accessing this website or engaging our services, you agree to be bound by these terms.

By using this website or proceeding with an engagement, you confirm that you are 18 years of age or older and have the legal capacity to enter into binding agreements. If you are entering into these terms on behalf of a business, you confirm that you have authority to bind that business.

Aethernet provides applied AI services as described on this website. Specific services, deliverables, timelines, and pricing for each engagement are defined in a written project proposal agreed by both parties before work begins. Services are available to clients in Malaysia and, where agreed, to clients in other jurisdictions.

5.1 Deliverables

Upon receipt of full payment, ownership of Deliverables (code, models, and reports) produced specifically for your engagement transfers to you. You receive a non-exclusive, perpetual licence to use any pre-existing components (frameworks, libraries, or methodologies) incorporated into Deliverables.

5.2 Website content

All content on this website — including text, design, and graphics — remains the intellectual property of Aethernet. You may not reproduce, distribute, or use website content without our written permission.

06 — Payment terms

Fees are as stated in the written project proposal. Payment terms are typically structured as a deposit before work begins and a final payment upon delivery, as specified per engagement. All fees are quoted and payable in Malaysian Ringgit (MYR) unless otherwise agreed. Invoices are due within 14 days of issue unless agreed otherwise in writing.

07 — Service delivery terms

Timeline estimates provided in project proposals are based on the scope agreed and on timely provision of required data and input from the client. Delays resulting from late or incomplete data provision by the client may extend delivery timelines. We will communicate any material changes to scope or timeline promptly and in writing.

08 — Disclaimers

AI and machine learning systems produce probabilistic outputs and are not infallible. We do not represent that any model will achieve a specific accuracy level or business outcome. Deliverables are provided based on the data available and the scope agreed. This website is provided "as is" without warranties of any kind, express or implied.

09 — Limitation of liability

To the maximum extent permitted by law, Aethernet's total liability arising from or in connection with any engagement shall not exceed the total fees paid by the client for that engagement. We shall not be liable for indirect, incidental, or consequential losses, including loss of profits, data, or business opportunity. Nothing in these terms limits liability for death or personal injury caused by negligence or for fraud.

10 — Indemnification

You agree to indemnify and hold Aethernet harmless from claims, damages, and expenses arising from your violation of these terms, your misuse of Deliverables, or your infringement of third-party rights.

11 — Confidentiality

Both parties agree to keep confidential any proprietary information received during an engagement. We will not disclose your client data to third parties except as necessary to deliver the agreed services or as required by law. Non-disclosure agreements are available on request before data sharing begins.

12 — Termination

Either party may terminate an engagement by giving written notice. In the event of termination, you will be invoiced for work completed to the date of termination, calculated pro-rata against the agreed fee. Clauses relating to intellectual property, confidentiality, and limitation of liability survive termination.

13 — Dispute resolution

These terms are governed by the laws of Malaysia. In the event of a dispute, both parties agree to attempt informal resolution through good-faith negotiation before commencing formal legal proceedings. Any disputes that cannot be resolved informally shall be subject to the jurisdiction of the courts of Malaysia.

We may update these terms periodically. Material changes will be noted with a revised effective date. Continued use of the website or engagement with our services after changes constitutes acceptance.
